Our Deloitte Strategy & Transactions team helps guide clients through their most critical moments and transformational initiatives. We offer comprehensive end-to-end support and advisory services, covering areas such as valuation modeling, cost optimization, restructuring, business design and transformation, infrastructure and real estate, mergers and acquisitions (M&A), and sustainability. The team works closely with clients at every stage of their journey, helping them navigate challenges, avoid financial pitfalls, and implement practical solutions before, during, and after major transformational projects or transactions creating lasting impact.

Work You’ll Do

Consultants in IT Diligence serve as trusted advisors to corporate and private equity clients. They assist in evaluating technology systems and operations of a company, identifying potential risks and helping ensure IT is a successful enabler for a pending M&A transaction. Consultants deliver complex client engagements that help refine the client’s IT strategy with a focus on inorganic growth. This is done by conducting IT or software diligence, divestiture support and post-merger support for clients as they assess JVs, Partnerships, Acquisitions, or potential sales. Deloitte’s Consultants are self-starters who are comfortable in an energetic and dynamic "roll-up-your-sleeves" culture. Consultant level responsibilities also include but are not limited to:

  • Synthesizing overall technology strategy by analyzing a wide variety of solutions, selecting the most relevant tools/techniques to meet specific client requirements such as business case, pricing, or complex financial and technical analysis, and interpreting and reporting on outputs
  • A resource with specific subject matter areas that arise during diligence activities
  • Participating in setting engagement objectives and scope, developing work plans for components of engagements, coordinating activities between work streams, and identifying changes in scope
  • Designing deliverable content to precisely reflect the engagement contract and client needs, while improving deliverable quality through verification and validation of results
  • Responding in a timely manner with the ability to respond to emails / calls in a reasonable turnaround based on client situation and needs
  • Meeting tight timelines as needed
  • Working independently and managing multiple task assignments
  • Collaborating with practitioners in other practices and businesses

The Team

Our M&A team offers expert guidance to corporate and private equity clients in navigating complex growth and divestiture scenarios. Our services encompass M&A strategy and transaction diligence, integration and separation planning and execution, as well as transaction financing.

Within M&A strategy and transaction diligence, our IT diligence specialists focus on the value creation potential of each transaction and its inherent operational risks. Our IT and Product Technology Diligence Specialists are focused on delivering successful, informed business decisions by identifying the key IT and software risks and opportunities associated with the most challenging M&A transactions. IT diligence also helps our clients by reviewing proprietary technology products, cyber security, initial carve out/standup requirements and initial integration/separation planning requirements. This is done through an integrated platform which more clearly checks the alignment of the deal macros with our clients’ investment theses, focuses on the foundational maturity of the target company, brings more value creation concepts to the diligence effort, and applies a metrics-driven perspective. Each service has a focus across an organization’s people, process, applications and infrastructure, and incorporates unique industry considerations.

Qualifications:

Required:

  • At least 2 years of technology experience in the majority of the following areas: IT organization, IT processes, applications (custom-developed and off-the-shelf), infrastructure, cloud technology, and cyber-security; with a keen understanding of how technology enables business strategy
  • At least 2 years of experience synthesizing data, identifying risks and value-creation opportunities, and developing perspectives and implications as part of an overall concrete assessment of the subject company
  • At least 1 year of experience presenting a coherent perspective in verbal, written and analytical formats, as part of a broader M&A diligence effort
  • Completion and delivery of at least 5 IT diligence projects for strategic or financial clients
  • Bachelor’s degree and 2+ years consulting and/or industry experience; alternatively, an MBA with 1+ years relevant work experience
  • Limited immigration sponsorship may be available
  • Ability to travel up to 50%, on average, based on the work you do and the clients and industries/sectors you serve

Preferred:

  • MBA or technology-related advanced degree with 2+ years relevant work experience with at least 2+ years of consulting experience, 1+ years of M&A consulting, and at least 2+ years of practical IT operational experience
  • Strong written and communication skills, including designing deliverable content
  • Experience leading digital transformation efforts across ERP, cloud, infrastructure, custom-developed technologies, etc.
  • Responsibility for the delivery of at least 10+ IT diligence projects for strategic or financial clients or other similar experience from other industry or consulting roles

This compensation range is specific to New York state and takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. At Deloitte, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $97,900 to $163,100.

You may also be eligible to participate in a discretionary annual incentive program, subject to the rules governing the program, whereby an award, if any, depends on various factors, including, without limitation, individual and organizational performance.
