Position Summary

General Atlantic is looking for a highly experienced 1940 Act Attorney to join our Legal & Compliance team. This individual will play a critical role in advising on the structuring, launch, and ongoing regulatory support of GA’s evergreen-oriented investment vehicles, including the General Atlantic Growth Equity (“GAGE”) fund.

This hire will be responsible for the launch of and ongoing legal and compliance matters related to GAGE and similar products that may be raised in the future. The ideal candidate will bring strong technical expertise under the Investment Company Act of 1940 (“’40 Act”), combined with the judgment and operational understanding required to support a fast-moving global investment platform.

Responsibilities

Fund Formation & Launch Support

  • Lead and manage the legal workstreams for the formation, registration, and launch of new ’40 Act vehicles, including GAGE and other retail-focused products
  • Draft, review, and negotiate fund documentation, offering materials, board materials, and regulatory disclosures
  • Partner with internal and external counsel to ensure timely completion of legal amendments and filings required for launch

Regulatory & Compliance Advisory

  • Provide subject-matter expertise on all aspects of the Investment Company Act of 1940, Investment Advisers Act of 1940, and related SEC rules
  • Advise on regulatory interpretation, operational implementation, and governance requirements applicable to registered funds
  • Support the preparation and filing of prospectuses, SAIs, supplements, shareholder communications, Form N-CEN, N-CSR, N-PORT, and other regulatory submissions

Ongoing Fund Governance

  • Work closely with fund boards, including preparation of board materials and participation in board meetings
  • Manage annual compliance reviews, updates to policies and procedures, and support examinations and audits
  • Coordinate with internal teams (Compliance, Product, Finance, Operations, Investment Teams) to ensure that fund activities align with regulatory requirements

Cross-Functional Collaboration

  • Serve as a key interface between Legal, Capital Solutions, Operations, and third-party service providers (fund administrators, auditors, custodians)
  • Provide legal support on distribution, marketing materials, platform onboarding, and shareholder servicing
  • Offer practical solutions that balance regulatory requirements with the commercial objectives of the business

Qualifications

  • Juris Doctor (J.D.) degree from an accredited law school
  • 10+ years of legal experience, with significant time spent advising on ’40 Act–registered funds.
  • Experience within a top law firm, asset manager, or fund complex working on mutual funds, interval funds, BDCs, tender-offer funds, or other registered product structures.
  • Deep understanding of:
    • Investment Company Act of 1940
    • Investment Advisers Act of 1940
    • Sub-advisory and distribution arrangements
    • Fund board governance
  • Proven ability to lead complex legal projects and manage multiple workstreams on accelerated timelines.
  • Strong communication skills and ability to work collaboratively across a global organization.
  • Business-oriented mindset with the ability to propose practical, solutions-oriented guidance.
  • Ability to work independently and proactively in a high performing global organization. Highly collaborative and capable of working effectively cross functionally.
  • Demonstrated maturity and professional presence; comfortable interacting with senior executives
  • Excellent communication skills, both verbal and written
  • Highly motivated, inquisitive, and positive can-do attitude

General Atlantic offers a robust reward program to all employees that will support you and your family, maintaining fulfilling, secure and healthy lives now and into the future, which includes but is not limited to medical insurance, retirement savings contributions, mental and physical health resources and an equal pay program that allows you to earn a base salary of $275,000-$325,000 of which the exact amount offered will be driven by the degree to which you meet role requirements, additional special skills and experience. Additional reward programs, such as annual discretionary bonuses and long-term incentive programs, are available for eligible employees and are offered as recognition for performance and one’s contributions towards the organization’s success.
