As an Equity Derivatives Attorney within the Equity Derivatives Group (EDG) Legal team, you will provide legal and regulatory advice to the equity derivatives sales and trading business, with a focus on Over-The-Counter equity derivatives and swaps (including exotics and complex structuring). You will work closely with the business, compliance, and other internal control functions, as well as internal and external legal colleagues, in performing these functions. You will report directly to the Head of the EDG Legal group.
Job Responsibilities
- Provide legal support and advice to EDG business managers and other stakeholders on OTC equity derivatives activities, including institutional, private bank, and fund client coverage, primarily during New York trading hours
- Draft, review, and negotiate ISDA documentation, including master agreements and related documentation, and equity derivatives confirmations (including OTC equity options/forwards and equity swaps such as delta-one and variance/volatility)
- Lead negotiation and structuring of key derivatives terms, including close-out, collateral, netting, margin, events of default/termination events, valuation, and regulatory clauses
- Advise on new products and complex structuring, including disclosures, conflicts, conduct, and governance considerations
- Manage and support resolution of documentation- and transaction-related disputes, claims, and escalations, partnering with business, control functions, and internal/external counsel as appropriate
- Drive documentation automation initiatives and template governance, including development, maintenance, and implementation of standard forms and playbooks
- Participate in new product approval committees and related governance forums, including assessing legal risk and supporting control frameworks
- Serve as a senior individual contributor expected to independently own complex matters end-to-end, influence stakeholders, and mentor more junior attorneys through best practices and informal leadership
Required qualifications, capabilities and skills
- Law Degree/Juris Doctorate and licensed to practice in New York – required.
- Minimum 8 years legal or compliance experience at a law firm and/or financial institution, with substantial responsibility advising on equity derivatives documentation
- Strong business acumen with ability to understand client needs and partner with business and control teams to develop pragmatic solutions
- Excellent drafting, negotiation, and legal analytical skills with keen attention to detail
- Outstanding verbal and written communication skills and ability to interact effectively with clients and senior stakeholders
- Proven ability to work independently while collaborating effectively across Legal, control, and business groups

Preferred qualifications, capabilities and skills
- Significant experience advising on exotics and bespoke equity derivatives structures
- Deep experience negotiating and drafting derivatives documentation and confirmations, including sophisticated negotiation of close-out, collateral, netting, margin, valuation, and regulatory terms
